Creator Content & Music Rights Addendum

lightstrea.ms is a platform for creators to share original creative works that they are legally authorized to make available.

You may only upload or otherwise make available content for which you own or control all rights necessary for lightstrea.ms to host, store, reproduce, transmit, stream, publicly perform, display, promote, and otherwise make the content available through the lightstrea.ms service.

For music and audio content, unless you have separately obtained and can provide legally sufficient documentation establishing otherwise, you must personally control the necessary rights in both:

• The musical composition, including the underlying music and lyrics; and
• The sound recording/master, meaning the specific recording you upload.

You may not upload music or other content merely because you possess a copy of it. Possession of a digital file, recording, beat, instrumental, video, or other media does not by itself give you the right to distribute or make that material available through lightstrea.ms.

You must not upload or distribute through lightstrea.ms any content that you do not have the legal right to make available.

Without limiting the foregoing, you must not upload:

• Commercially released music that you do not own or have permission to distribute;
• Music owned by a record label, publisher, distributor, or other third party without the necessary authorization;
• Cover songs unless you have obtained all permissions and licenses necessary for the specific uses provided by lightstrea.ms;
• Remixes, mashups, edits, bootlegs, DJ mixes, or derivative works containing third-party material unless you have obtained all necessary rights;
• Recordings containing samples, loops, interpolations, or other third-party material unless you have obtained all necessary rights and licenses;
• Beats, instrumentals, stems, vocals, or other material obtained from another person or service unless your agreement with that provider permits all uses contemplated by lightstrea.ms;
• Recordings containing performances by another person unless you have obtained the necessary authorization from that performer;
• Music subject to an exclusive license, publishing agreement, recording agreement, distribution agreement, or other contractual restriction that prevents you from granting lightstrea.ms the rights described in this Addendum;
• Content that infringes or misappropriates another person's copyright, trademark, publicity, privacy, or other intellectual property or proprietary rights; or
• Any other content for which you cannot lawfully grant the rights described in this Addendum.

If you are uncertain whether you possess the necessary rights, do not upload the content until you have obtained appropriate legal advice or documentation confirming that you may do so.

Each time you upload or otherwise publish content through lightstrea.ms, you represent and warrant that:

1. You are the owner of, or are otherwise legally authorized to use and license, all rights necessary for the content to be used as contemplated by this Addendum.
2. You have obtained all necessary permissions, licenses, consents, releases, and authorizations from every applicable copyright owner, performer, producer, songwriter, composer, publisher, label, or other rights holder.
3. You have full authority to grant lightstrea.ms the license described in Section 4 of this Addendum.
4. The content does not infringe, violate, or misappropriate any third-party copyright, trademark, patent, trade secret, publicity right, privacy right, contractual right, or other proprietary or legal right.
5. The content is not subject to any agreement or restriction that would prevent you from granting lightstrea.ms the rights described in this Addendum.
6. You have not previously granted any person or entity exclusive rights that conflict with the rights you grant to lightstrea.ms.
7. If another person contributed to the creation, performance, recording, production, or ownership of the content, you have obtained all permissions necessary for lightstrea.ms to use the content as contemplated by this Addendum.
8. All information and metadata you provide regarding the content, including artist names, songwriter information, ownership information, and other identifying information, is accurate and not misleading.
9. You will maintain documentation sufficient to demonstrate your ownership of or authorization to use the content and will provide such documentation to lightstrea.ms upon reasonable request.

These representations and warranties apply to every upload and remain applicable for as long as the content remains available through lightstrea.ms.

You retain ownership of the content you upload.

However, by uploading content to lightstrea.ms, you grant lightstrea.ms a worldwide, non-exclusive, royalty-free license, for the duration of the period during which the content is made available through the service, to:

• Host and store the content;
• Reproduce and make technical copies of the content;
• Encode, transcode, compress, format, or otherwise technically modify the content as reasonably necessary to operate the service;
• Stream and transmit the content to users of lightstrea.ms;
• Publicly perform the content through the service;
• Display the content and associated artwork, titles, descriptions, artist names, and other metadata;
• Make the content available through lightstrea.ms applications, websites, and other services;
• Promote the content, the Creator, and lightstrea.ms using excerpts, artwork, metadata, or other portions of the content as reasonably necessary for platform promotion;
• Use the content in connection with events, promotions, discovery features, playlists, recommendations, and other functionality offered by lightstrea.ms; and
• Otherwise use the content as reasonably necessary to provide, maintain, improve, and promote the lightstrea.ms service.

This license does not transfer ownership of your content to lightstrea.ms.

You acknowledge that certain technical operations, including caching, transcoding, backup, CDN delivery, and temporary copies, may result in additional copies or technical manifestations of your content. These uses are included within the license granted above.

For music and audio recordings, you expressly represent that the license granted in Section 4 covers all rights necessary for lightstrea.ms to provide the applicable music functionality.

This includes, where applicable, the rights necessary to:

• Reproduce, host, transmit, stream, and publicly perform the sound recording/master;
• Reproduce, host, transmit, stream, and publicly perform the underlying musical composition;
• Use lyrics embodied in the recording;
• Use performances embodied in the recording;
• Display artwork associated with the recording;
• Use accompanying video;
• Display and use metadata; and
• Otherwise use copyrightable or proprietary material included in the upload as necessary to operate the service.

You are solely responsible for obtaining any third-party permissions or licenses necessary to grant these rights.

lightstrea.ms does not obtain music rights from a Creator merely because the Creator possesses a copy of a recording or has access to that recording through another music service.

Unless expressly identified by lightstrea.ms, the lightstrea.ms service does not provide Creators with a license to use music from Spotify, Apple Music, YouTube, SoundCloud, or any other third-party music catalog or streaming service.

You may not upload or incorporate content obtained from a third-party music service unless you independently possess all rights necessary to make that content available through lightstrea.ms.

lightstrea.ms may, at its discretion, request documentation demonstrating your ownership of or authorization to use uploaded content.

Such documentation may include, without limitation:

• Copyright registrations;
• Recording agreements;
• Publishing agreements;
• Licenses;
• Producer agreements;
• Songwriter agreements;
• Performer releases;
• Sample licenses;
• Beat licenses;
• Distribution agreements;
• Written permissions from other rights holders; or
• Other documentation reasonably demonstrating your authority to upload and license the content.

You agree to provide requested documentation within a reasonable period.

Failure to provide sufficient documentation may result in removal or disabling of the applicable content and/or suspension or termination of your Creator status.

lightstrea.ms respects the intellectual-property rights of others and maintains procedures for receiving and responding to copyright complaints.

If lightstrea.ms receives a credible allegation that content infringes another person's rights, lightstrea.ms may, in its discretion and without prior notice to the Creator:

• Remove or disable access to the content;
• Restrict the Creator's ability to upload additional content;
• Suspend or terminate the Creator's account;
• Request documentation concerning the Creator's rights; and/or
• Take any other action reasonably necessary to address the complaint.

lightstrea.ms may also take these actions when it otherwise reasonably believes that content may violate applicable law or this Addendum.

Creators who repeatedly upload allegedly infringing or unauthorized content may lose Creator status and/or have their accounts suspended or terminated.

lightstrea.ms may consider the circumstances and severity of individual incidents when determining an appropriate response.

You acknowledge that you are solely responsible for determining whether you have the legal right to upload and distribute your content through lightstrea.ms.

lightstrea.ms does not independently guarantee that a Creator possesses the rights necessary to upload any particular work.

You agree not to rely upon lightstrea.ms to determine whether your content is legally authorized for distribution.

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless lightstrea.ms and its owners, operators, affiliates, officers, directors, employees, agents, contractors, and service providers from and against claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• Your content;
• Your violation of this Addendum;
• Your violation of the Terms;
• Your breach of any representation or warranty in this Addendum;
• Your failure to obtain necessary rights, licenses, permissions, or consents;
• Allegations that your content infringes or misappropriates a third party's rights; or
• Your use of lightstrea.ms in violation of applicable law.

This obligation applies regardless of whether the unauthorized use was intentional or unintentional, except to the extent prohibited by applicable law.

You may request removal of content that you have uploaded, subject to any technical, legal, contractual, or operational requirements applicable to lightstrea.ms.

Removal of content does not eliminate obligations that arose before removal, including obligations relating to infringement, indemnification, or other violations of this Addendum.

If at any time you lose, transfer, license, or otherwise change the rights necessary for lightstrea.ms to continue making your content available, you must promptly notify lightstrea.ms and request removal of the affected content.

You must not leave content available on lightstrea.ms after your authorization to distribute that content has expired or been revoked.

You agree to reasonably cooperate with lightstrea.ms in responding to legitimate copyright complaints, legal notices, subpoenas, court orders, or other lawful requests relating to content you have uploaded.

Where appropriate, you may be required to provide information or documentation establishing your rights to the content.

This Addendum supplements the lightstrea.ms Terms of Service. If there is a conflict between this Addendum and the Terms concerning Creator content or intellectual-property rights, this Addendum will control with respect to those matters.

All other provisions of the Terms remain in effect.

By accepting Creator status, uploading content, or otherwise using Creator functionality on lightstrea.ms, you acknowledge that you have read, understood, and agreed to this Addendum.

You acknowledge that uploading content to lightstrea.ms constitutes an affirmative representation that you possess the rights necessary to make that content available and to grant the license described in this Addendum.

If you do not possess those rights, you must not upload the content.
